1. General

Welcome! QiCafe, LLC operates the QiCafe website. The QiCafe website will, among other things, help you get information, post and share information with QiCafe, view QiCafe created content as well as third party content and facilitate the purchase of goods and services. The QiCafe website and all related domains, websites, services and pages owned or operated by QiCafe (collectively the “Site”) and any services made available on the Site (“Service”) are provided to you based upon your acceptance of these Terms of Use and the QiCafe Privacy Policy (which are incorporated herein by reference), and other notices posted on the Site.

These Terms of Use and Disclaimers, and Privacy Policy set forth the legally binding terms for your use of the Site and Service (collectively, the 'Agreement'). By accessing or visiting the Site or using any Service, you agree to be bound by the Agreement. You are only authorized to access or visit the Site and/or use the Service (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully. Your visiting or use of the Site or any Service, constitutes your acknowledgment and agreement to this Agreement and other notices posted on this website. If you do not agree to be bound by and comply with all of the foregoing, do not use the QiCafe website and you may not visit or access the Site or use the Service. By visiting and accessing the Site, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions set forth herein

QiCafe and its partners shall have the right, at their sole discretion, to modify, add or remove any terms or conditions of this Agreement without notice or liability to you. Any changes to this Agreement shall be effective immediately following the posting of such changes on this website. The most recent version of this Agreement may always be found at www.qicafe.io. You agree to review this Agreement from time to time and agree that any subsequent access or use by you of this website following changes to this Agreement shall constitute your acceptance of all such changes.

2. Eligibility and Registration

You must be 18 or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to use the Site and the Service. If you are under the age of 18 or the applicable legal age in your jurisdiction, do not access or visit the Site or use any Service. Access to the Site and/or use of the Service is void where prohibited by applicable law, and the right to access the Site and use the Service is revoked in such jurisdictions. If you wish to use the Site for the purchase of goods or services, you will be required to register with QiCafe. When completing the registration form, you will provide true, accurate, and complete information, and maintain and promptly update this information. If you provide any information that is not true, inaccurate, or incomplete, or if QiCafe has reasonable grounds to suspect that the information is false, inaccurate, misleading or incomplete, QiCafe has the right to suspend or terminate your membership and access to the Site

As part of the registration form, you will be asked to provide a valid email address that you own and use and to select a password and user name ('User ID'). You may not: (a) enter, select or use a false name or an email address owned or controlled by another person with the intent to impersonate that person; (b) use as a User ID a name subject to any rights of a person or entity other than yourself without appropriate authorization; or (c) use a User ID that QiCafe, in its sole discretion, deems offensive. QiCafe reserves the right to refuse registration of, or cancel a User ID in its discretion. You shall be responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your User ID and password, including use of the account by any third party authorized by you to use your User ID and password. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account. Any User ID and password provided to you for your access to the QiCafe Service shall be for your personal use only. You agree to: (y) immediately notify QiCafe of any unauthorized use of your User ID or password (or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password, and (z) ensure that you exit from your account at the end of each session.

Further, by using the Site, you represent and warrant that: 1) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise, and 2) you have the legal capacity (i.e., of sound mind, as well as of legal age in your jurisdiction) and you agree to comply with these Terms of Use.

3. Payments and Refund Policy

You agree to pay the applicable fee to the Provider for services that you order, schedule, subscribe to, or otherwise use or benefit from through the Website that carry a fee. You can prepay with Stripe during booking by clicking on “Pay Now”. Prepayment is mandatory to secure an appointment. If you experience payment issues, we can send you a link with Stripe.

After an appointment is successfully entered into our calendar, clients receive a confirmation email. This email contains an active link allowing clients to change, reschedule, or cancel a session. However, our booking system denies access to any change a day before the appointment, except for payment. Therefore, clients must email or message their request.

If the email or message request is 24 hours or 1 day before the day of your appointment, the rescheduling or cancellation fee is set at 50% of the original session fee.

If the request is received on the day of the appointment or you are a no-show at the time of your session, the rescheduling or cancellation fee is 100% of the original session fee. It means that you will have to pay again in full to book another session.

If you miss your session, your payment is non-refundable as it is considered a no-show. If any refund is approved in certain circumstances, a fee of 3.5% will be withheld from the refund transaction to offset what our merchant service charges us for the refund.

Please be on time for our session. Tardiness may lead to shorter sessions without any price discount. Extending a session is a paid option only available if the schedule allows it. No session and driving.

We reserve the right to change our fee schedule at any time. If you prepaid for a session, and the rates change, we will honor your booking at the previous rate. However, any subsequent session or bundle will be paid based on the new fee schedule.

4. Medical Disclaimer

Energy Medicine is a branch of alternative medicine that works with the body’s energy fields to promote balance, health, and well-being. It is based on the concept that disruptions and imbalances in the body’s energy system can lead to physical, emotional, and mental health issues. Practitioners of energy medicine use various techniques to assess and align these energies aimed to enhance health, vitality, and restore the body’s electromagnetic and subtle energies which can play a crucial role in physical, spiritual, and emotional well-being. While considered controversial by some medical communities, energy medicine has a rich traditional history in many cultures. Some common forms of energy medicine include acupuncture, Reiki, qigong, and therapeutic touch.

Energy Medicine is alternative healing and complementary in nature. It is not a diagnostic or curative approach. Specific results cannot be guaranteed, as individual responses to Energy Medicine vary. However, we will collaborate to achieve the best possible outcomes for you, and you can discontinue your Energy Medicine session and service at any time. Energy medicine, hypnotherapy and any other services or information offered on this site are not a substitute for medical or psychological diagnosis and treatment by a licensed health care professional. Neither the founder of this website nor any Energy Medicine practitioners listed on it are physicians or licensed health care providers. Nothing in this website should be construed to constitute healthcare advice or medical diagnosis. Information and guidance by our practitioners should not be construed as a promise of benefits, a claim of cures, or a guarantee of results to be achieved. QiCafe LLC make no guarantees or warranties related to these services. Clients of QiCafe LLC assume any and all risks associated with using our services, agreeing to hold QiCafe LLC, its owners, board members, advisors, employees, practitioners, and/or volunteers harmless on Energy Medicine services, and will not pursue any and all claims, demands, causes of action, liability, loss, damage, and /or injury that may occur.

5. Non-Medical Disclaimer

Any non-medical services you receive are for discussion only and are not substitutes for professional services such as legal, financial, or other non-medical advice. QiCafe LLC makes no warranty and offers no guarantee of what is being discussed and urges all clients to exercise critical thinking and due diligence when it comes to resolving their issues. Booking QiCafe LLC services implies that you have read and accepted all our terms of services.

6. Third Party Sites and Services

You acknowledge that the Site may contain links, descriptions and other material (collectively, the \"Links\") that are protected by copyright, trademark or other proprietary rights of QiCafe and third-party content and/or service providers. Links may require you to register, provide information about yourself and/or open an account prior to being able to utilize the content or services available. Such information may include personally identifiable information. There may also be separate terms, conditions of use and policies associated with such Links and you should carefully review such terms, conditions and policies. Your use of each of those Links is subject to the conditions, if any, that each of those Links have posted. QiCafe shall have no liability, obligation or responsibility for: (a) any correspondence, purchase or promotion between you and any third-party; or (b) the quality, accuracy or availability of goods and/or services from third parties. QiCafe does not endorse any Links. QiCafe provides these Links only as a matter of convenience, and in no event shall QiCafe be responsible for any content, products, services or other materials on or available from such sites. QiCafe provides the Service to you pursuant to the terms and conditions of this Agreement. You recognize, however, that certain third-party providers of ancillary software, hardware, content, products or services may require your agreement to additional or different licenses or agreements or other terms prior to your purchase, use of or access to such software, hardware, content, products or services.

7. Content on the Site

The Site includes a combination of content that QiCafe creates, that our partners create, that other third parties create, and that you and our other users create. All content published, displayed, cached or made available on the Site or through the Service, including, but not limited to, written content, photographs, graphics, images, illustrations, marks, logos, sound or video clips, and Flash animation (“Content”), are protected by copyrights and may be protected by other intellectual property rights such as trademarks. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works of, distribute, publicly perform, publicly display, or in any way exploit any of the Content on the Site in whole or in part unless expressly permitted by the content owner.

You may be exposed to Content that you find offensive, indecent, or objectionable. QiCafe: (a) does not control the Content posted by third parties; (b) assumes no responsibility for monitoring the Site or Service for inappropriate Content; and (c) does not guarantee the accuracy, reliability, integrity or quality of any Content. Under no circumstances will QiCafe be liable in any way for any Content, including any errors or omissions in any Content or any Content that is libelous or defamatory, or any loss or damage of any kind incurred as a result of your use of any Content. You agree that you must evaluate and bear all risks associated with the use of any Content, including any reliance on the content, integrity, and accuracy of such Content. You should not rely on the Content for, and QiCafe disclaims that any Content is meant to be, legal, medical or professional advice. QiCafe reserves the right, but not the obligation, to remove any Content that may, in our sole discretion, violate these Terms of Service or that is otherwise objectionable.

8. Submitting Your Content

Subject to your acceptance of this Agreement, you may submit text, files, images, photos, works of authorship, or any other material for hosting and display on the Site in any manner the Site allows. All content so designated by you and contained within or provided by you in association with such content, including but not limited to all closed captioning, and metadata, is referred to collectively as “Your Submissions.” QiCafe shall have no obligation whatsoever to return any materials you submit. Your Submissions are deemed non-confidential and QiCafe shall be under no obligation to maintain the confidentiality of any information, in whatever form, contained in any of Your Submissions.

QiCafe.io does not claim any ownership rights in Your Submissions. After submitting Your Submissions to the Site, you continue to retain all ownership rights in such content, and you continue to have the right to use Your Submissions in any way you choose.

By uploading, sending or otherwise making available Your Submissions to QiCafe, you are directing and authorizing QiCafe to, and are granting QiCafe a royalty-free, fully paid-up, non-exclusive, perpetual, sublicensable right and license to, use, host, cache, route, tag, encode, transmit, store, copy, modify, create derivative works, distribute, publicly perform, publicly display, reformat, excerpt, analyze, adapt and create algorithms based on the Your Submissions in order to: (a) host Your Submissions on QiCafe’s servers; (b) index Your Submissions; (c) display, perform and distribute Your Submissions, in whole or in part, in connection with the Site, the Service and QiCafe products and services now existing or hereafter developed, including without limitation for syndication on third party sites, and you waive any moral rights you may have in having the material altered or changed in a manner not agreeable to you. This license gives QiCafe the right to display Your Submissions via streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies, and to display limited excerpts of Your Submissions for no fee to users of the Site. Notwithstanding the foregoing, QiCafe is not required to host, index, or display any of Your Submissions uploaded or otherwise provided to QiCafe, and may remove or refuse to host, index or display any Your Submissions. QiCafe is not responsible for any loss, theft, intellectual property infringement or damage of any kind to the Your Submissions.

By uploading, sending or otherwise making available Your Submissions to QiCafe, you are also granting QiCafe a non-exclusive, world-wide, royalty-free, fully paid-up license to use your name and logo (“Your Brand Features”), in connection with Your Submissions, and to use limited excerpts from Your Submissions for marketing or promotional purposes, including without limitation the right to publicly display, perform, reproduce and distribute such excerpts and Your Brand Features on the Internet and in presentations, marketing materials, customer lists, and Web site listings of customers.

By uploading or otherwise providing Your Submissions to QiCafe, you represent and warrant to QiCafe the following: (a) you are at least 18 years of age if you are a natural person; (b) all of the information comprising Your Submissions provided by you to QiCafe is correct and current; (c) Your Submissions are not, in whole or in part, pornographic or obscene; (d) you hold and will continue to hold the necessary rights, including but not limited to all copyrights, trademark rights and rights of publicity in and to Your Submissions and Your Brand Features and to grant the rights granted herein; (e) you have the legal right and authority to perform the acts required of you under these Terms of Service, and to grant the rights and licenses described herein. You further represent and warrant that: (y) Your Submissions and the rights and licenses granted to QiCafe under this Agreement and QiCafe’s authorized use of Your Submissions (including the public display, public performance, distribution and reproduction of Your Submissions): (i) do not and will not violate any applicable law, statute, ordinance or regulation; and (ii) do not breach and will not breach any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort or contract theories; and (z) Your Submissions do not and will not violate or encourage violation of any applicable law, statute, ordinance or regulation. The following is a partial list of the kind of content and communications that are illegal or prohibited on/through the QiCafe Site. QiCafe reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Site and Service and terminating the membership of such violators or blocking the use of the Service and/or the Site. Your Submissions may not include content that:

• is false or intentionally misleading;
• is patently offensive to users of the Site, such as content or messages that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
• harasses or advocates harassment of another person;
• involves the transmission of unsolicited mass mailing or "spamming"
• is unlawful or promotes illegal activities or conduct that is abusive;
• violates the copyright, trademark or any other proprietary right of any third party;
• falsely expresses or implies that such content or material is sponsored or endorsed by QiCafe or that otherwise falsely misrepresents the origin of the content;
• is threatening, obscene, defamatory or libelous or violates the right of privacy or the right of publicity of any person;
• is pornographic or sexually explicit in nature;
• seeks or recommends providers of material that exploits people under the age of 18 in a sexual or violent manner, or seeks or recommends providers that solicit personal information from anyone under 18.

You understand and agree that QiCafe may review and delete any of Your Submissions that in the sole judgment of QiCafe violates these Terms of Use or which might be offensive, illegal, or inappropriate or that might violate the rights of, harm, or threaten the safety of other users or members of the QiCafe Site and/or other website users.

9. Requests for Removal of Content

We respect the intellectual property rights of others and we prohibit members from uploading, posting or otherwise transmitting on the QiCafe website or service any materials that violate another party's intellectual property rights. If you believe that Content on the Site has been copied and/or made accessible in a manner that violates another’s intellectual property rights, you may send a written notification of such infringement to our Designated Agent at support@qicafe.io. When we receive proper Notification of Alleged Copyright Infringement, we promptly remove or disable access to the allegedly infringing material and terminate the accounts of repeat infringers in accordance with the Digital Millennium Copyright Act. To file a copyright infringement notification with us, you will need to send a written communication that includes the following:

• Identification of the copyrighted work that you claim has been infringed;
• Identification of the Content on the Site that allegedly infringes upon the copyrighted work at issue, and information reasonably to permit QiCafe to locate such Content;
• A statement by you that you have a good faith belief that the use of the Content identified in your notice in the manner complained is not authorized by the copyright owner, its agent, or the law;
• A statement by you that you attest, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf;
• Your physical or electronic signature, together with your contact information (address, telephone number and, if available, email address).

If you believe that Content has been mistakenly removed from the Site pursuant to this DMCA policy, you may send a written counter-notice to the Designated Agent to include the following:

• a) Identification of the Content that was removed, and the location on the Site where it would have been found prior to its removal;
• A statement under penalty of perjury that you have a good faith belief that the Content was removed as a result of a mistake or misidentification;

10. Your Conduct

You agree to follow all applicable laws and regulations when using the Site and Service. Without limiting the foregoing, you agree that you will not use the Site to take any of the following actions:

• Defame, abuse, harass (or advocate harassment of), stalk, threaten, or otherwise violate the legal right of others;
• Publish, post, upload, e-mail, distribute, or disseminate (collectively, "Transmit") any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful content;

• Is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
• Contains nudity, violence, or offensive subject matter or contains a link to an adult website;
• Promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
• Includes a photograph of another person that you have posted without that person's consent;
• Modify, adapt, translate, or reverse engineer any portion of the QiCafe Site and/or the QiCafe Service;
• Remove any copyright, trademark or other proprietary rights notices contained in or on the QiCafe Site and/or the QiCafe Service;
• Use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the QiCafe Site and/or the QiCafe Service;
• Reformat or frame any portion of the web pages that are part of the QiCafe Site and/or the QiCafe Service;
• Create user accounts by automated means or under false or fraudulent pretenses;
• Use the QiCafe Site or the QiCafe Service to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including those that are deemed threatening or obscene.

11. Privacy

You have read and agree to all of the terms and conditions of our Privacy Policy.

The transmission of data or information (including communications by e-mail) over the Internet or other publicly accessible networks is not secure, and is subject to possible loss, interception or alteration while in transit. Accordingly, QiCafe does not assume any liability for any damage you may experience or costs you may incur as a result of any transmissions over the Internet or other publicly accessible networks, such as transmissions involving the exchange of e-mail with us (including those which may contain your personal information). While we shall take commercially reasonable efforts to safeguard the privacy of the information you provide us and treat such information in accordance with our Privacy Policy, in no event will the information you provide to us be deemed to be confidential, create any fiduciary obligations to you on our part, or result in any liability to you on our part in the event that such information is inadvertently released by us or accessed by third parties without our consent.

12. Disclaimer of Warranties

QiCafe disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of Content, information or material displayed, cached or otherwise accessible from the Site. QiCafe disclaims any responsibility for the deletion, failure to store, or untimely delivery of any information or material. While QiCafe endeavors to provide a sterile server environment, QiCafe makes no claim that the Site will be error free, or that the Site, Service or the servers that operate them are or will be free of viruses or other harmful components. QiCafe recommends that you keep backup copies of Your Submissions and material, if any, that you maintain on or use with the Site or Service. QiCafe is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the QiCafe Site or Service or combination thereof, including any injury or damage to you or to any person's computer related to or resulting from participation or downloading or accessing any information or material on the Internet through or in connection with the Site. Under no circumstances shall Moolahnaire.com be responsible for any loss or damage, including personal injury or death, resulting from accessing the Site or use of the Service, from any Content, or from your conduct or the conduct of other users of the QiCafe Site or Service, whether online or offline.

YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH ACCESS TO THE SITE OR THE USE OF THE SERVICE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OR CORRUPTION OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL OR DATA.

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.

13. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL QICAFE OR ITS LICENSORS, PARTNERS, PRACTITIONERS, OFFICERS, AFFILIATES AND SUPPLIERS BE LIABLE TO YOU OR ANY USER FROM THE USE OR MISUSE OF OR RELIANCE ON THE SITE OR SERVICE, OR ARISING FROM ANY CLAIM RELATING TO THIS AGREEMENT OR THE SUBJECT MATTER HEREOF. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF QICAFE OR ITS LICENSORS, PARTNERS, AFFILIATES AND SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF. OR RELIANCE ON THE SITE OR SERVICE, FROM INABILITY TO ACCESS THE SITE, USE THE SITE OR SERVICE, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SITE OR SERVICE (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). THIS LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SITE OR SERVICE OR RECEIVED THROUGH ANY LINKS PROVIDED ON THE SITE OR THROUGH IN THE SERVICE, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED ON THE SITE OR SERVICE OR RECEIVED THROUGH ANY LINKS PROVIDED IN THE SITE OR SERVICE. THIS LIMITATION SHALL ALSO APPLY, WITHOUT LIMITATION, TO THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, LOSS OF USE, GOODWILL, LOST DATA OR OTHER INTANGIBLE LOSSES. SUCH LIMITATION SHALL FURTHER APPLY WITH RESPECT TO THE PERFORMANCE OR NON-PERFORMANCE OF THE SITE, THE SERVICE OR ANY INFORMATION OR MERCHANDISE THAT APPEARS ON, OR IS LINKED OR RELATED IN ANY WAY TO, THE SITE OR SERVICE. SUCH LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.

Without limiting the foregoing, under no circumstances shall QiCafe or its licensors, partners, affiliates or suppliers be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

14. Our Rights

We have the right, but not the obligation, to take any of the following actions in our sole discretion at any time and for any reason without giving you any prior notice:

• Restrict, suspend, or terminate your access to all or any part of the Site and/or Service;
• Change, suspend, or discontinue all or any part of the Site and/or Service;
• Refuse, edit, move, or remove any content, or other material that you submit to the Site for any reason;
• Refuse, edit, move, or remove any content, or other material that is available on the Site;
• Deactivate or delete your accounts and all related information and files in your account;
• Modify, add or remove any terms or conditions of these Terms of Service;
• Establish general practices and limits concerning access and use of the Site and/or Service.

You agree that we will not be liable to you or any third party for taking any of these actions.

15. Termination

You have the right to terminate or cancel your account at any time. You understand and agree that the cancellation of your account is your sole right and remedy with respect to any dispute with QiCafe. This includes, but is not limited to, any dispute related to or arising out of: (a) any of the provisions of the Agreement Service or QiCafe's enforcement or application of the provisions of the Agreement; (b) any policy or practice of QiCafe, and Privacy Policy, or QiCafe's enforcement or application of these policies; (c) the Content available through the Site; (d) your ability to access and use the Site or Service; or (e) use of any Links. QiCafe, in its sole discretion, may terminate your account and remove and discard any of Your Submissions without notice if QiCafe believes that you have violated or acted inconsistently with any of the provisions of the Agreement. QiCafe will not be liable to you for termination of your account or access to the Site. Sections 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15 and 16 will survive the termination of this Agreement and your account. You may withdraw Your Submissions from public display in the Site by providing QiCafe with a written request. QiCafe will use commercially reasonable efforts to remove Your Submissions from public display within thirty (30) days from receipt of your notice of termination or withdrawal. QiCafe may at any time, and in its sole discretion, and without liability to QiCafe, terminate the Site, the Service or any product, service or feature offered in or by the Site or Service.

16. Indemnification

You hereby agree to indemnify, defend and hold QiCafe and all of our officers, directors, owners, practitioners, employees, agents, information providers, affiliates, partners, and licensors (collectively, the "QiCafe Parties") harmless from and against any and all liability, losses, costs, expenses and damages (including attorneys' fees) incurred by any QiCafe Party in connection with any claim, including, but not limited to, claims for defamation, violation of rights of publicity and/or privacy, copyright infringement, or trademark infringement arising out of:

• Your access of the Site and use of the Site or Service;
• Any use or alleged use of your account or password by any person, whether or not authorized by you;
• Your Brand Features or the content, the quality, or the performance of Your Submissions;
• Your connection to the Site;
• Your violation of this Agreement;
• Your breach of third party terms, conditions of use or policies associated with the Links;
• Your violation of any law or the rights of any other person or entity.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You will not settle or resolve any such claim in a manner that imposes any liability or obligation on QiCafe or affects QiCafe’s rights in connection therewith without the advance written approval of QiCafe.

17. Ownership

Except for Your Submissions and the Content submitted by other members or users, the QiCafe Site and Service and all aspects thereof, including all copyrights, trademarks, and other intellectual property or proprietary rights therein, are owned by QiCafe and/or its suppliers and licensors (“QiCafe Property”). You acknowledge that the QiCafe Property and any underlying technology or software used in connection with the Site and Service contain QiCafe's proprietary information. You may not modify, reproduce, distribute, create derivative works of, publicly display or in any way exploit, any of the QiCafe Property in whole or in part except as expressly provided in this Agreement. Except as expressly and unambiguously provided in this Agreement, there are no implied licenses.

18. Miscellaneous Provisions

This Agreement is governed by and construed in accordance with the laws of the State of Florida, without giving effect to its conflict of laws provisions or your actual state or country of residence. You agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the county of Miami, Florida. If for any reason a court of competent jurisdiction finds any provision or portion of the Agreement to be unenforceable, the remainder of the Agreement will continue in full force and effect.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or of the Agreement must be filed within two (2) years after such claim or cause of action arose or be forever barred.

QiCafe may be required by state or federal law to notify you of certain events. You hereby acknowledge and consent that such notices will be effective upon our posting them on the Site. You authorize QiCafe to send notices via electronic mail as well if QiCafe decides, in its sole discretion, to do so. You agree to check the Site for notices, and that you will be considered to have received a notice when it is made available to you by posting on the Site.

References to affiliates, partners, or other terms used to describe the relationship between QiCafe and certain third parties are for convenience only, used to reflect that there is cooperation between QiCafe and such third parties, and do not describe, or expressly or impliedly create, a legal affiliation or partnership, or any responsibility of QiCafe for the actions of such third parties.

No agency, partnership, joint venture, or employment is created as a result of this Agreement and you do not have any authority of any kind to bind QiCafe in any respect whatsoever.

This Agreement, including all terms, conditions, and policies that are incorporated into these terms of use by reference, constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of this Agreement will be effective only if in writing and signed by QiCafe.
